Morgan Lewis Represents UBM in $972M Purchase of Advanstar Communications

NEW YORK, October 1, 2014: Morgan Lewis advised British communications and events company UBM Plc in connection with its proposed $972 million (£598 million) acquisition of the entire issued and outstanding capital stock of VSS-AHC Consolidated Holdings Corp. (also known as Advanstar Communications), a privately held U.S. trade show organizer. UBM’s all-cash acquisition of Advanstar, the third largest player by revenue in the U.S. events market, creates the largest events business in the United States based on 2013 revenue, complementing UBM’s existing emerging market exposure. The deal is conditional on UBM shareholder approval.
