Aset Shyngyssov concentrates his practice on corporate law, mergers and acquisitions (M&A), finance, capital markets, banking, and infrastructure transactions. Aset handles transactions in Kazakhstan and throughout Central Asia involving clients in the oil and gas, energy, banking, and telecommunications industries. Chambers, Legal 500, and International Financial Law Review consistently rank him among the top Kazakhstan lawyers for his experience in natural resources, corporate and finance law. The managing partner of Morgan Lewis’s Almaty and Astana offices, Aset speaks English, Russian, and Kazakh.

  • Represented Power International Holding W.L.L., a Qatari industrial conglomerate, in its $1.1 billion acquisition of Mobile Telecom-Service LLP, a mobile telecom company operating in Kazakhstan
  • Represented Compass Group PLC, a major international catering company, in connection with different projects, including joint ventures, acquisitions, labor and corporate law matters, and later in connection with the exit from Kazakhstan
  • ArcelorMittal in the sale of its Kazakhstan subsidiaries.
  • Represented a large Chinese cement company in connection with a cross-border acquisition of a cement plant in Kyrgyzstan.
  • Geo-Jade Petroleum Corporation in the $350 million acquisition on the Kazakhstan stock exchange of 100% of the voting shares of KoZhan JSC.
  • Magnetic Oil in connection with acquisition of oil producing assets (two target companies) from OMV Petrom.
  • Represented shareholders of Rakhat JSC, a large Kazakhstan confectionary company, in connection with the sale of their majority stake to Lotte Confectionery Co, Ltd.
  • EBRD and Asian Development Bank in connection with € 472 million loan to modernize Almaty TETS-2 power plant (switching from coal to natural gas).
  • Eurocopter, a subsidiary of EADS, in connection with a joint venture with Kazakhstan Engineering for the manufacture of EC145 helicopters.
  • CNPC E&D in the acquisition of MangistauMunaiGas on the Kazakhstan Stock Exchange.
  • KazMunayGas in its $1.3 billion financing from China Export Import Bank, and $300 million financing with Japan’s JBIC and Bank of Tokyo Mitsubishi, for an upgrade of the Atyrau Refinery (a subsidiary of KazMunayGas).
  • Pavlodar Refinery in connection with modernization project.
  • Sberbank of Russia on the acquisition of Texakabank, a mid-sized bank in Kazakhstan, and entry to the Kazakhstan banking market.
  • Baring Vostok, a Western investment fund, in connection with a leveraged buyout and its acquisition of Bank Caspian (now Kaspi Bank).
  • Citigroup and EBRD in connection with equity investments in KazInvestBank JSC.
  • Allianz Group, the leading international insurer, on its acquisition of ATF Policy, then a mid-size insurance company in Kazakhstan.
  • KazNitrogenGas in connection with the acquisition of a controlling stake of ATF Bank, a large bank in Kazakhstan, from UniCredit Bank.
  • Advised on several large privatization transactions, including Karaganda GRES-2, Almaty Energo, Karaganda Energo and Karazhanbasmunai.
  • Represented several Kazakhstan real estate developers, in connection with luxury hotels and branded apartments in Kazakhstan (Ritz Carlton, St. Regis)
