Vito Petretti

In addition to outsourcing and technology matters, Vito supports clients in matters related to sourcing and supply chain operations. He assists with the structuring, drafting, and negotiation of a wide range of commercial transactions: supply and distribution agreements, manufacturing agreements, consulting and service agreements, marketing and advertising agreements, transportation and warehousing agreements, and a variety of other procurement-related agreements.

He has written or co-authored several articles on aspects of outsourcing and technology for a variety of industry publications, including for financing and accounting, banking, media, and human resources professionals.

• Represented a global biopharmaceutical company in the negotiation of a master services agreement with HCL for management of the client’s global service desk and all its end-user computing services in more than 80 countries
• Represented a global biopharmaceutical company in connection with a master services agreement with Cognizant for pharmacovigilance services in more than 40 countries
• Represented a leading medical technology and life sciences company in the negotiation of a business process outsourcing agreement for finance and accounting, accounts payable, cash application, credit services, fixed assets services, collections and dispute management, general ledger accounting, intercompany accounting, and customer service
• Represented a global consumer products company in the negotiation of a contract manufacturing agreement related to the development and commercialization of an innovative oral care product to be manufactured in US and China locations
• Represented one of the largest energy companies in the United States in the negotiation of an information technology outsourcing transaction that involved the outsourcing of the client’s help desk, end-user computing, and application maintenance functions
• Represented a global manufacturer of pet foods and pet nutrition products in the negotiation of a transaction involving the outsourcing of the client’s customer service, logistics, and trucking operations
• Represented one of the world’s largest pharmaceutical distributors in the negotiation of a software license with SAP and a master services agreement with its system integrator, and assisted the client in the RFP processes that led to the selection of both SAP and the system integrator
• Represented a global consumer products company in the negotiation of a master services agreement and related statements of work in connection with the outsourcing of the client’s maintenance, repair, and operating (MRO) functions at all its plants in North America
• Represented a leading automotive aftermarket parts provider in the negotiation of a full-scale IT outsourcing project, including infrastructure services, end-user computing, application maintenance, and support and network services
• Represented a health insurance provider focused on vision care in two major outsourcing transactions: the outsourcing a portion of the client’s finance and accounting functions to Genpact and the outsourcing of nearly all the client’s IT operations (including infrastructure, service desk, and end-user computing) to Zensar
• Represented a wholesale food distribution company in the negotiation of a distribution agreement with one of the world’s largest retailers under which the client agreed to service the retailer’s brick-and-mortar grocery stores across the United States
• Represented a large natural gas service provider in the negotiation of a software-as-a-service (SaaS) service and implementation agreement with Workday under which the client replaced all its core HR platforms, including time tracking, payroll and learning systems, with the Workday system
• Represented a global consumer products company in the negotiation of a facility and warehouse management outsourcing agreement for the operation of critical US warehouses, including negotiation for the build-out of the facility and implementation of robotics and automation as part of warehouse operations
