Tomasz Wozniak
Tomasz Woźniak advises public and private companies and private equity sponsors, primarily on mergers and acquisitions (M&A), private equity, joint ventures, and strategic transactions, across sectors including financial services, energy, and consumer products. He has advised on numerous domestic and inbound UK transactions, as well as on deals across Europe and emerging markets, with particular experience across Eastern Europe and Africa. Tom is acknowledged as a leading practitioner by The Legal 500 UK for his private equity work and by Chambers Europe and Chambers Global for corporate and M&A work.
Tom has a broad and varied practice, assisting private equity sponsors with their investment and portfolio company work around the globe, while also assisting sellers and management teams transact with private equity sponsors. He also has a strong focus on public takeovers and other strategic public markets work.
Tom advises clients on complex cross-border M&A transactions around the globe, including advising on establishing and investing in new jurisdictions (most recently, with a focus assisting US-based clients manage investments in to Europe), and a strong track record of structuring and executing complex joint ventures. In the 2024 edition of The Legal 500 UK, Tomasz was described by clients as an “exceptional” lawyer who “we love working with . . . very much.”
Prior to joining Morgan Lewis, Tom was a partner in the corporate practice of another leading international law firm based in London. He has over 20 years of deal experience across the UK and emerging markets. Beyond his work the UK, he has spent several years practising overseas in Europe and Asia.
- Represented Huaxin Cement Co. in its $1 billion acquisition of Lafarge Africa PLC, one of Nigeria’s largest cement businesses
- Represented Huaxin Cement Co. Ltd. in its $193 million acquisition of a 59.58% stake in Oman Cement Co., a national leader in Oman’s cement market
- Represented Selina, one of the world's fast growing hospitality brands, in its merger with BOA Acquisition Corp., a publicly traded special purpose acquisition company. The transaction values the pro forma company at an equity value of $1.2 billion
- Represented 8 Rivers Capital on its partnership with Sembcorp Energy UK to develop the UK’s first Net Zero emissions power plant
- Represented Yandex, one of Europe’s largest internet companies, on its:
- proposed $5.5 billion takeover offer for online lender TCS Group Holding Plc;
- complex and novel corporate governance restructuring, announced in November 2019
- public offering and concurrent private placement, with gross proceeds of $1.06 billion, completed in June 2020
- Represented Huaxin Cement on its acquisition of Lafarge Zambia and Lafarge Malawi from Holcim, and the acquisition of Yuzhno-Kyrgyzsky Cement from Verny Capital
- Represented OpenGate Capital in the acquisition of the commodity amphoteric surfactant business of Solvay
- Represented Norilsk Nickel on its proposed strategic supply arrangements with Johnson Matthey in the area of critical raw materials for battery materials production
- Represented Norilsk Nickel in respect of its strategic battery materials joint venture with BASF
- Represented Alpha Energy on the acquisition of Third Energy’s onshore gas exploration and production assets, and its subsequent sale to Wolfland Group
- Represented Winter Capital on are range of transactions including investments in Arrival, Getir, Palta, LegionFarm, and Udemy
