This one-hour webinar will provide an overview of advance notice and other bylaw provisions relevant to shareholder activism defense, including provisions governing how shareholders can submit advance notices of director nominations and/or shareholder proposals, and what constitutes a timely and proper notice by a shareholder of director nominations and/or other business proposed for consideration at an annual meeting of shareholders. It will also discuss provisions governing the calling of special meetings of shareholders, the proposal of business at special meetings, and other actions by shareholders.
