Banee Pachuca

Banee Pachuca focuses her practice on healthcare law, including transactional, regulatory, and compliance matters. She represents hospitals, health systems, academic medical centers, large physician groups, and private equity and financial investor clients in mergers, acquisitions, divestitures, joint ventures, and other collaborative and alignment strategies. Additionally, Banee frequently advises clients with respect to fraud and abuse laws, including the Stark Law and state and federal anti-kickback laws, billing compliance, as well as state and federal privacy laws. She assists healthcare clients with internal investigations, analyzing potential self-disclosures, responding to government subpoenas, and developing compliance programs.

Selected Representations

  • Represented a private equity client in the acquisition of national optometry management services company.
  • Represented private equity clients and portfolio companies in acquisitions of physician practices across various specialties, including ophthalmology, dermatology, reproductive endocrinology and infertility, and emergency medicine. 
  • Represented a national ambulatory care company in connection with qui tam federal anti-kickback action and related investigation.  
  • Represented a health system in a joint venture arrangement with a physician owned urgent care operator, including structuring of transaction from a regulatory perspective and preparation of healthcare and corporate documents.
  • Represented a health system in the sale of its dialysis business line to a national dialysis company.
  • Conducted compliance reviews relating to physician relationships for a large national hospital company.
  • Served as outside general counsel to a community hospital system. Advised hospital system with respect to physician recruitment and employment, hospital based agreements, and other physician contractual and alignment issues. Worked collaboratively with outside fair market value appraisal firm to obtain opinions in connection with physician contracts.
  • Conducted an internal audit of a health system’s contracts for Stark Law and federal anti-kickback statute compliance.
