Mana Behbin advises investment advisers and fund sponsors on the design, launch, and operation of registered investment companies and private investment funds, including mutual funds, closed-end funds, exchange-traded funds, private equity funds, venture capital funds, and hedge funds. Drawing on experience across both the registered fund and private fund sectors of the investment management industry, Mana works with US and international clients throughout the fund lifecycle, from product development, structuring, and formation through fundraising, launch, governance, regulatory compliance, strategic transactions, and ongoing operations, helping clients anticipate governance and regulatory issues and bring new investment products to market.

Mana regularly counsels first-time and emerging fund sponsors on establishing and launching private investment funds, guiding them through fund structuring, formation, fundraising, investor negotiations, the organization of domestic and offshore entities, and cross-border regulatory matters. She also advises US and international sponsors on legal, business, operational, and regulatory issues affecting private investment funds, including compliance with US law.

Mana’s registered funds practice includes advising investment advisers and fund sponsors on fund launches, mergers, reorganizations, and restructurings, as well as novel investment products and strategic product initiatives. She counsels clients on complex Investment Company Act matters, interactions with the US Securities and Exchange Commission, fund board and governance matters, registration statements, proxy statements, and ongoing regulatory compliance, helping them navigate the legal and business considerations of bringing new investment products to market and supporting their ongoing operations.

In addition to her client work, Mana closely follows emerging legal and regulatory developments affecting the investment management industry and provides practical guidance on their implications for investment advisers and investment products. She frequently writes and speaks on environmental, social, and governance developments, US Department of Labor initiatives, and other regulatory developments affecting alternative investment products.

Before joining Morgan Lewis, Mana represented public and private companies in transactions supporting strategic and financial goals, including complex business combinations, stock and asset acquisitions, and securities and structured finance issuances.
