Some tech transfer offices (TTOs) are not completely familiar with startup financing documents—such as the model agreements used by the National Venture Capital Association (NVCA). As startups continue to grow—and the prospect of more private equity participation emerges—some will approach TTOs with entrepreneurial financing materials, often using the NVCA model agreements. While NVCA model agreements have reduced friction in getting deals closed, venture deals are complex and certain provisions of the model agreements may not be the right choice for all financings.
