Ian M. Wenniger
Ian M. Wenniger is a partner in the firm’s transactional finance practice group. He represents first and second lien senior lenders, mezzanine investors, equity sponsors, and borrowers in senior debt and mezzanine financing arrangements. He also represents hedge funds, as borrowers, in adding leverage to their capital structures. His areas of focus include acquisition, recapitalization, and other leveraged financings; cash flow and asset-based financings; debtor-in-possession and exit financings; cross-border financings; first lien, second lien, unitranche, and mezzanine financings; and workouts and restructurings.
Before joining Morgan Lewis, Ian was a partner in the transactional/banking and leveraged finance practice at another international law firm.
- Represented the administrative agent, collateral agent and lead arranger in connection with a $135 million senior subordinated second lien term loan that financed the acquisition of a well-known brand of canned seafood products by Centre Partners Management LLC
- Represented the agent in connection with a $35 million second lien term loan to a provider of emergency-room staffing and services
- Represented the agent, syndication agent, sole lead arranger, manager and bookrunner in connection with a $100 million first lien revolving credit facility to a major fabric retailer in connection with the confirmation of its plan of reorganization and exit from bankruptcy protection
- Represented the lead arranger, second lien collateral agent and documentation agent in connection with a $24 million second lien loan to an organic grocery store chain to finance a strategic acquisition
- Represented the agent and lead arranger in connection with a $405 million senior secured financing to a national outdoor equipment retailer
- Represented the administrative agent and arranger in connection with a Cdn$85 million second lien acquisition financing of a window and door manufacturer
- Represented the administrative agent, Term B collateral agent and Term C collateral agent in connection with a $45 million acquisition financing of a regional jewelry retailer
- Represented the equity sponsor in connection with a $6.75 million senior secured and $3 million subordinated debt acquisition financing of a oil field equipment manufacturer
- Represented the equity sponsor in connection with a $15.5 million senior secured and $7.25 million subordinated debt acquisition financing of a shooting range equipment manufacturer
- Represented the equity sponsor in connection with a $29.5 million senior secured dividend recapitalization of a printing company
- Represented various hedge funds and funds of funds in variable funding note financings
- Represented a real estate fund in the financing, through a master repurchase arrangement, of the acquisition of a $41 million mortgage loan on a multifamily property
- Represented a real estate fund in the financing, through a master repurchase arrangement, of the acquisition of a $35 million participating interest in a mortgage loan on a multifamily property
