Lisa Valentovish
Lisa Valentovish has more than 20 years of experience representing aircraft owners, financial institutions, lessors, investors, and air carriers in connection with their aircraft investments and operations. She has led numerous complex debt restructurings and international insolvency matters and played a role in many of the industry’s largest airline restructuring transactions. Lisa also works closely with the tax and benefits teams to represent corporations and individuals in connection with the personal use of corporate aircraft by executives and related proxy reporting.
Before joining Morgan Lewis as a partner in 2014, Lisa was a partner in the financial services practice of another international law firm. Lisa returned to the United States in 2016 after spending five years in Tokyo as a Japan Registered Foreign Lawyer (Gaikokuho Jimu Bengoshi) (2011–2016).
Lisa has served on the New York Office Pro Bono Committee (2014–2022) and as Chair of the committee (2019–2022).
- Represented lead investor in refinancing of portfolio of aircraft through an asset-backed securitization (ABS) transaction
- Represented investor in a sale-leaseback transaction involving more than a dozen Airbus aircraft
- Represented investors in connection with the purchase of equity certificates in aircraft portfolio transactions totaling hundreds of aircraft
- Represented aircraft lessors to document individual aircraft leases to global airlines and related financing
- Represented numerous Fortune 500 companies in connection with personal use of corporate aircraft by executives
- Negotiated and documented numerous post-pandemic lease restructuring amendments with lessees around the world including deferrals, extensions, power-by-the-hour (PBH) arrangements, lease extensions, and early redeliveries
- Represented lead investor in the acquisition and securitization of a portfolio of used aircraft on lease to international airlines (Global Transport Finance 2016 Aircraft Finance ABS Deal of the Year – North America)
- Advised various parties in connection with Enhanced Equipment Trust Certificates (EETC), Pass Through Trust Certificates (PTC), and Equipment Trust Certificate (ETC) aircraft financing transactions
- Advised parties regarding slots, routes, and gates collateral
- Represented investor group in connection with its acquisition of a majority interest in a loan secured by more than 40 aircraft
- Represented the largest creditor in the civil rehabilitation proceeding of Japanese low-cost carrier Skymark Airlines including an alternate plan of reorganization
- Represented aircraft-secured creditors in the industry’s largest US airline restructuring transactions (Waypoint Leasing, American Airlines, Delta Air Lines, Northwest Airlines, United Air Lines, US Airways, and Atlas Air)
- Advised corporate clients in connection with aircraft use policies, operation of corporate flight departments, and retention of aircraft managers
- Advised various parties in connection with operations under Federal Aviation Regulations Parts 91, 107, 135, 137, and 121
