Spencer A.G. Curtis focuses his practice on mergers and acquisitions (M&A), divestitures, equity investments, joint ventures, and general corporate and governance matters. Spencer has experience representing strategic companies and private equity funds in cross-border and domestic public and private transactions. While he works across all industries, Spencer focuses his practice on highly regulated industries, including the power and energy, infrastructure, and insurance sectors in particular.
Energy & Infrastructure Transactions
- American Electric Power in connection with a strategic partnership in which affiliates of KKR and PSP Investments will acquire a 19.9% equity interest in AEP’s Ohio and Indiana & Michigan transmission companies for $2.82 billion
- American Electric Power in its sale of its distributed generation business AEP Onsite Partners to funds advised by Basalt Infrastructure Partners LLC
- Hydro-Québec, in its approximately $2 billion acquisition of Great River Hydro LLC, an indirect portfolio company of ArcLight Capital Partners, that owns 14 hydro-electric generation facilities totaling approximately 700 megawatts (MW) of capacity and related facilities in the ISO-New England market
- Energy Capital Partners in various 50% acquisitions of wind, solar and storage projects from Orsted, with aggregate transaction values of approximately $1 billion
- American Electric Power Company Inc. in its $2.846 billion sale of Kentucky Power Company and AEP Kentucky Transmission Company Inc. to Liberty Utilities Co., a subsidiary of Algonquin Power & Utilities Corp.
- Summit Utilities Inc. in its $2.15 billion acquisition of the Arkansas and Oklahoma gas distribution utility businesses of CenterPoint Energy Inc.

- Aspen Insurance in the sale of its US and UK surety operations to Amynta Group
- GoodWorks Insurance in the sale of Goodworks Financial Group to Assured Partners
- The board of directors of NORCAL Mutual Insurance Co., a provider of medical professional liability insurance and risk management solutions to physicians, medical groups, hospitals, clinics, and allied healthcare, in its $450 million sale to ProAssurance Corp.
- Aspen Insurance Holdings Ltd. in the $68.4 million sale of AgriLogic Insurance Services, a company that provides crop insurance, risk management, and grain marketing expertise, to CGB Diversified Services Inc.
- Tokio Marine Kiln Group in its acquisition of WNC Holding Co., a holding company for insurance service providers
- Oregon Insurance Department in connection with its review and approval of a joint venture between Moda Health Plan and Delta Dental of California, wherein Delta invested $152 million of new equity capital for a 49.5% interest in Moda Health Plan’s parent company
