Sean Zoltek represents various investment companies, private equity debt funds, sovereign wealth funds, business development companies and other alternative financing funds and vehicles, as well as banks and bank holding companies, in connection with leverage acquisitions, dividend recapitalizations, facility refinancings, holding company facilities, convertible debt arrangements, preferred equity investments, and other bespoke financing arrangements in private credit as well as widely held and syndicated financings. Sean represents agents, arrangers, majority and minority holding lenders and holders, borrowers, issuers, and sponsors in venture/pre-revenue, mid-market, large market, and investment grade credit transactions.

Sean works on complicated out-of-court restructurings and workouts, UCC foreclosures and proxy enforcements, distressed debt purchases and sales, bankruptcy reorganizations, as well as second/third lien and mezzanine financing arrangements and various types of subordinated debt financings. Sean’s work involves a diverse range of industries, including energy, software and other intellectual property, healthcare, retail, transportation, and logistics, and with such deals involving new money originations, out-of-court restructurings, and bankruptcies.

Sean advises clients in all phases of potential and ongoing financial transactions, from providing general credit analysis for clients acting as lenders, holders, and other potential debt purchasers for new credits, to discussing approaches on adapting credits for ongoing borrower and sponsor requirements and providing refinancing and restructuring options for clients after the deal closes.

Prior to joining Morgan Lewis, Sean was a special finance counsel at an international law firm in its direct lending and private credit practice group.
