Dr. Sultan Almasoud
Dr. Sultan Almasoud focuses on mergers and acquisitions, corporate restructurings, IPOs, joint ventures, capital market transactions, private placements, and all aspects of corporate and commercial legal matters. Well versed in the legal framework of Saudi Arabia and bringing a thorough understanding of the local regulations and practices, Dr. Sultan represents a wide range of local and international clients, including corporate and private equity clients, sovereign wealth funds, multinational corporates, large family conglomerates, and government entities in Saudi Arabia. He speaks English and Arabic. Dr. Sultan is managing partner of the firm’s Riyadh office and leader of the Saudi practice.
Prior to joining Morgan Lewis, Dr. Sultan was a co-managing partner for Saudi Arabia for an international law firm.

- Represented a major chemical producer on its joint venture to establish a downstream petrochemicals facility in Saudi Arabia*
- Represented a sovereign wealth fund on its acquisition of a significant stake in a Japan-listed gaming company*
- Counseled owners of a major tourism project in Saudi Arabia on all aspects of the development, construction, and infrastructure and public-private partnership (PPP) strategy for project*
- Advised a sovereign wealth fund on a renewables joint venture*
- Represented a sovereign wealth fund on its investment in the $10 billion sale of a national oil company’s oil pipelines, one of the world’s largest energy infrastructure deals in 2021*
- Represented a capital market company in Saudi Arabia on the $319 million asset sale of its retail brokerage, retail margin lending, and entire asset management business (including investment funds and discretionary portfolio management) to an investment management firm*
- Advised an energy company on its entry into a joint venture agreement with a national oil company to create a facility in the Kingdom of Saudi Arabia to manufacture nonmetallic materials that will be used in a variety of areas of the energy industry*
- Represented a large communications company on the sale of 62% of its shares in its connectivity and ICT services subsidiary to an investment company*
- Represented underwriters on an $814 million bond offering by a power generation company and an investment company*
- Represented the Saudi Arabian branch of a global investment banking firm, acting as the financial advisor to a banking company, on the merger with another banking company*
- Advised a chemical products manufacturer on its sale of a 25% interest in a methanol producer to a Saudi Arabian chemical manufacturing company*
- Represented a private equity client on a stake in a publicly listed company in Saudi Arabia*
- Represented a public investment fund company on its defense joint venture with a Saudi Arabian miliary industries company and an engine aircraft parts manufacturer*
- Represented a public investment fund company as part of an international private equity consortium consisting of a private equity firm and an impact investment firm on the purchase of the clean technologies business of a global chemical company for $510 million in cash*
- Represented a consortium made up of a water and waste management company, a Japanese general trading company, and an investment company on its acquisition of a 65% interest in a waste management company in Jubail*
- Represented a UAE-based healthcare chain on its proposed acquisition of a stake in a Saudi Arabia-listed company*
