Steven M. Cohen
Steven M. Cohen represents entrepreneurs, private equity investors, and venture capital funds. He advises clients in such industries as technology, life sciences, chemicals, consumer products, digital health, and fintech. Steve counsels mid-Atlantic region investors and emerging growth companies in a variety of business transaction including equity financing transactions, mergers and acquisitions (M&A), divestitures, initial public offerings (IPOs), joint ventures, and international strategic partnerships. He is the former chair of the firm’s emerging companies and venture capital practice.
Steve helps develop and implement growth strategies, working with companies throughout their entire lifecycle.
Widely recognized on the East Coast for his knowledge and skill, Steve lectures frequently on planning profitable exit strategies, obtaining angel and venture capital financing for early-stage companies and business leadership.
Steve counsels mission-driven companies and startups on a full range of corporate matters, as well as investors who focus on impact investments that are not only financially successful but also committed to making a positive social and environmental impact, including serving as outside legal counsel for Impact Capital Managers, the leading impact investing trade organization.

- Flint Lane, the CEO of BTRS Holdings, also known as Billtrust and a B2B accounts receivable automation and integrated payments company, in the public company’s $1.7 billion sale to EQT X Fund
- Summit Utility Structures, a producer of metal poles and other steel structures for utility infrastructure and highway signage, in its sale to Nucor Corporation

- Eleison Pharmaceuticals, a clinical-stage biopharmaceutical company developing drug candidates for patients with rare cancer, including osteosarcoma and pancreatic cancer, in its investment led by BDI Co., Ltd.
- SJF Ventures in its Series B investment in Cecelia Health, a digital health company to help improve medical adherence and health outcomes for people living with diabetes and related chronic conditions and sale of its successful investment in, and exit from, Community Energy, Inc.
- Vymedic, a biotechnology company specializing in the research and development of amino acid based therapeutics, in its convertible note financing
- Notitia Biotechnologies Company, a microbiome company developing products to promote health by protecting and restoring essential gut microbes that are vital for nutrition, immunity, metabolism, and neuropsychology, in its Series Seed financing
- BKON LLC, a developer of proprietary RAIN (Reverse Atmospheric Infusion) TM technology used by brands to produce natural beverages using any fruit or botanical, with a particular focus on the cold brew coffee industry, in its $2 million Series Seed angel financing and its $3 million Series A financing led by GoodWest Industries, LLC
- Rocket Strategies in the $5 million Series A financing of Platina Systems, a company focused on delivering real, deployable solutions that address challenges of run-time operations and allows apps to be moved to any cloud

- Videolicious, a platform that allows users to create professional quality videos for business or personal use, in its sale, including its wholly owned subsidiary, Videolicious Poland, to Squarespace
- Stonecutter Ventures in the $55 million financing of Vindex, a company to provide infrastructure, content, and eSports event planning services to video game publishers, distributors, brands, team owners, and consumers in the fast-growing eSports market as well as Vindex's acquisition of Hitbox and in its follow-on $25 million SAFE round in Vindex
