Women on Boards: Are Bay Area Companies in Compliance with New Law?, The Mercury News

Morgan Lewis senior counsel Tom Kellerman is quoted in an article by The Mercury News regarding California’s law requiring a publicly held company to have one woman on its board by 2019, two women for companies with five members, and three for companies with six. Kellerman states in the article that there are institutional investors who have urged companies for years to pursue women appointees. For Kellerman, it’s a distinct question of, “can California Legislature force a Delaware corporation to govern itself according to California law?”
