Alexey Pashinskiy acts for international lenders, borrowers, and issuers on leveraged financing, notes offerings, project finance, and real estate finance deals. He advises on M&A transactions, joint venture establishment, buyouts, and minority private equity investments and exits as well as buyback of securities and depository receipts. Alexey also advises clients on United Arab Emirates (UAE) real estate matters, general corporate matters, merger control, takeover, securities, and regulatory issues, including sanctions and compliance issues. - Advised a UAE state-owned advanced technology and defense conglomerate on an AED 10 billion (approximately $2.7 billion) corporate financing facility from one of the largest banks in the UAE
- Advised a UAE state-owned investment company on a $100 million profit participation loan in connection with a co-investment in a US-based investment management firm
- Advised a prominent UK-headquartered bank with operations in the Middle East on $165 million green project financing to a major renewable energy developer in Turkey
- Advised UAE trading company in connection with a long-term master supply wheat agreement with a listed Omani milling company
- Advised a US metal ore trader in connection with a long-term prepayment financing from a major Abu Dhabi sovereign trading holding
Real Estate
- Acted for MERED, an international real estate developer, on complex shareholders’ arrangements with respect to the equity financing of a flagship residential project in Dubai Internet City, and on real estate and financing structuring matters regarding a residential and commercial real estate project
- Advised an investor on the acquisition financing of a UAE entity holding a large shopping mall in Astana, Kazakhstan
- Advised an investor in a European hospitality real estate operator in relation to refinancing and onward sale matters
M&A, Private Equity, and Investment Management
- Advised an ADGM-based public company and its investors on a variety of corporate matters regarding governance, financing, buyback, takeover rules, securities, and Global Depository Receipts (GDRs) regulations
- Advised a major listed telecom company on buyback of its GDRs from a major US investment bank
- Advised a Dutch-based holding company with NASDAQ listing on $5.2 billion sale of all of its businesses in Russia
- Advised family offices of high-net-worth individuals and investment firms on wealth management and holding structures in ADGM, DIFC, and Hong Kong
