Jennifer Trock
A trusted advisor to a broad range of commercial aviation, aerospace, and transportation companies, Jennifer Trock guides clients through complex regulatory, commercial, transactional, disputes, and compliance matters around the globe. She assists with aerospace and airline transactions, airline licensing, ownership and control requirements, airline joint ventures and antitrust matters, aircraft certification and manufacturing, supply chain, international aviation matters, public-private partnerships, and corporate aviation. In addition to traditional commercial aviation matters, Jennifer devotes a portion of her practice to emerging transportation areas, such as UAS, eVTOL, and associated transportation infrastructure.
Jennifer regularly works with airlines, aerospace manufacturers and suppliers, advanced air mobility (AAM) and technology stakeholders, including uncrewed aircraft systems (UAS) and electric vertical takeoff and landing aircraft (eVTOL), travel sector clients, and investors by bringing together the commercial, compliance, regulatory, disputes, and transactional experience needed to capture opportunity and mitigate risk.
She has deep experience advising clients on issues before the US Department of Transportation (DOT), Federal Aviation Administration (FAA), Transportation Security Administration (TSA), and National Transportation Safety Board (NTSB), as well as the International Civil Aviation Organization (ICAO).
Among the first to represent clients in the UAS sector more than a decade ago, she has a strong background in advising AAM stakeholders on a range of commercial, regulatory, and corporate matters across multiple jurisdictions. At the forefront of technological advancements in the transportation sector, Jennifer is familiar with the unique considerations impacting aviation sector companies seeking to harness artificial intelligence (AI).
Prior to joining Morgan Lewis, Jennifer served as chair of the global aviation group of another international law firm.
Airlines and Aircraft Operators
- Represents US and foreign airlines in aviation matters, including licensing, ownership and control requirements, route proceedings, antitrust applications, code-share/joint venture agreements, restructuring, commercial, and transactional matters
- Represents major airlines in multibillion dollar financings involving regulatory collateral
- Represented multiple startup US airlines in commercial, governance, and regulatory matters
- Represented major international airlines in connection with applications for antitrust immunity before DOT
Private Equity/Investors
- Represents investors in connection with investments in and ownership/control of US air carriers
- Represents investors in connection with major transactions involving aviation-related companies, including airlines, aerospace manufacturers, maintenance, repair and overhaul (MRO) providers, fixed based operators (FBOs)
- Represents investors in connection with airport infrastructure projects, including public-private partnerships
AAM
- Advises eVTOL manufacturers, investors, and other stakeholders on certification, regulatory, and transactional matters
- Advised developer on first-of-its-kind of autonomous pilot software and aircraft operations
- Advised client on commercial and regulatory requirements related to certification and operation of high-altitude pseudo satellite (HAPS)
- Advises clients on an array of regulatory and commercial matters related to the operation of UAS
Manufacturers and Lessors
- Represents suppliers and manufacturers in compliance investigations and reviews, quality systems, and commercial agreements
- Represents aerospace clients in transactions, regulatory and compliance matters, and commercial agreements
Airports and Infrastructure
- Represents investors and operators in connection with public-private partnership initiatives, including under the FAA's Airport Investment Partnership Program (AIPP), including representation of Aerostar, the winning bidder in the privatization of the Luis Munoz Marin International Airport—the first major US airport to successfully go through the FAA's AIPP
- Represents clients on airport compliance and access matters, including compliance with federal grant assurances and airport access
Corporate and Business Aviation
- Advises on corporate flight departments, Part 91 operations, time-share agreements, and executive use policies for corporate aircraft
Wind Energy and Project Developers
- Counsels real estate and wind energy developers on FAA Part 77 airspace reviews and determinations of no hazard
- Represents project sponsors in connection with appellate challenges to FAA airspace determinations, including cases in the US Courts of Appeals for the DC Circuit and for the Ninth Circuit
