Kayla Ruben counsels charitable organizations, private foundations, and other tax-exempt organizations on obtaining and maintaining tax-exempt status. Recognizing that tax-exempt and nonprofit organizations are governed by a complex array of corporate, tax, and other regulatory regimes across various jurisdictional levels, Kayla strives to provide practicable and actionable advice to clients working to make a difference in our communities and around the world.
Kayla's practice includes helping these institutions apply for federal and state tax exemptions; resolving corporate governance, management, and executive compensation issues; advising on a wide range of nonprofit transactions, including restructurings, dissolutions, mergers and acquisitions, joint ventures, and fiscal sponsorships; structuring compliant grantmaking and program- and mission-related investment programs; and counseling nonprofits engaged in political and unrelated business activities.
