Oliver Tidey advises public, private, and institutional clients on various corporate and commercial transactions, including public and private mergers and acquisitions (M&A), private equity, joint ventures, venture capital, corporate structuring and restructuring, and general corporate and regulatory matters. Oliver has cross-border experience with matters spanning across the Middle East, the United States, Europe, and Asia Pacific. Prior to joining Morgan Lewis, Oliver completed his training contract in the London and Abu Dhabi offices of a Magic Circle law firm.

  • Advised Bayanat AI on its merger with Al Yah Satellite Communications Company, creating Space42, an AI-powered space technology company then valued at $4.1 billion
  • Advised Presight AI Holding PLC, an Abu Dhabi-based publicly listed artificial intelligence and big data analytics company, on its acquisition of a controlling stake in AIQ from G42, valuing AIQ at $1.4 billion
  • Advised a UAE royal-family-owned investment holding company on its potential acquisitions of a 5-star beachfront resort in Abu Dhabi for approximately $300 million, and a leading hotel management company operating across the Middle East, Africa, Europe, and Turkey with an annual revenue of approximately $450 million
  • Advised a Middle Eastern private equity firm in respect of (1) its contribution of a company with approximately $215 million assets to an ADGM-registered fund, and (2) its joint venture with a Luxembourg-headquartered alternative asset manager to establish a fund with $1 billion committed capital
  • Advised a Middle Eastern sovereign wealth fund on its acquisition of a $75 million stake in a leading Middle Eastern online real estate platform then valued at approximately $1.8 billion from a leading American growth equity firm
  • Advised a Middle Eastern sovereign wealth fund on its $2.7 million Series A investment in a UAE-based fintech and property technology company and $2.3 million secondary acquisition of shares from the founders and an existing investor
  • Advised a Dubai-headquartered investment holding company in respect of its joint venture with a Chinese autonomous vehicle technology company to establish a distribution business in the MENA region via an ADGM vehicle initially capitalized with $100 million.
  • Advised a NYSE-listed multinational electric automobile manufacturer on its joint venture with a Middle Eastern government-owned investment company to establish a platform to distribute electric vehicles and autonomous electric vehicles in the UAE via an ADGM vehicle initially capitalized with $55 million
  • Advised an AI-powered space technology company in respect of its proposed disposal of certain elements of its African business for $50 million
  • Advised Nebius Group, a Dutch-headquartered Nasdaq-listed technology company, in relation to its acquisition of Tavily, an AI infrastructure provider
  • Advised Bechtel Global Corporation, a US EPC and project management company, on its joint venture with Unger Steel, including the contribution of a UAE-based steel fabrication facility which supplies fabricated steel globally
  • Advised a US technology and industrial solutions company on its joint venture with a Saudi Arabian investment and industrial development firm to deploy enhanced oil recovery technologies and pursue large-scale industrial projects within Saudi Arabia
  • Advised TVM Capital Healthcare, a healthcare expansion and growth capital investment firm, on its investment in Munich-based neurocare group AG and its expansion into the Kingdom of Saudi Arabia
  • Advised an Asia-centric private equity firm on a Series A investment in a UAE and Saudi company
