Gina Lauriero advises public and private companies, boards of directors, compensation committees, and senior executives on executive compensation issues affecting their businesses. As co-leader of the firm’s Executive Compensation Task Force, she advises clients on compensation, governance, tax, and securities law considerations and the design of programs intended to attract, retain, and motivate executive talent.

Gina advises clients ranging from Fortune 500 companies to emerging growth businesses on executive compensation matters. She structures and negotiates employment, severance, retention, and change-in-control arrangements and designs equity compensation, deferred compensation, and cash incentive plans that align with business strategy and evolving regulatory requirements. She also counsels public companies on executive compensation governance matters and the shareholder approval and public disclosure of executive compensation plans and arrangements.

Gina also advises clients on tax and employee benefits issues under Internal Revenue Code Sections 409A, 162(m), and 280G and the Employee Retirement Income Security Act (ERISA), helping them manage risk while pursuing practical business objectives.

Gina’s practice also focuses on the executive compensation and employee benefits aspects of corporate transactions. She works with corporate colleagues and clients on mergers and acquisitions, divestitures, initial public offerings, and spinoffs, advising on compensation and benefits diligence, transaction agreements, executive retention strategies, and post-closing integration.

Additionally, Gina counsels financial services firms on the unique executive compensation and tax issues arising from financial advisor compensation arrangements. Gina works closely with clients to develop compensation strategies that balance legal compliance, corporate governance, and commercial objectives. She frequently speaks on executive compensation, equity compensation, and employee benefits topics at continuing legal education programs. Her recognitions include rankings from Chambers USA and The Legal 500 US.
