Jennifer Feldsher
Jennifer Feldsher’s primary focus is representing secured creditors, special situations investment funds, private credit providers, and ad hoc groups in bankruptcy proceedings, section 363 sales, and in-court and out-of-court complex corporate debt restructurings and recapitalizations. She also represents troubled corporate debtors in reorganizations, asset sales, loan restructurings, and commercial loan transactions.
Jennifer has directed all aspects of the bankruptcy process for debtors and creditors. She has experience in chapter 11 plan formulation and confirmation, relief from stay and cash collateral negotiations, and debtor-in-possession (DIP)/exit financing negotiations and related hearings. Jennifer also routinely advises on innovative financing solutions, intercreditor agreement terms and enforcement, and “zone of insolvency” issues and fiduciary duties.
She has acted as counsel to companies involved in many of the largest restructurings in the energy, retail, telecommunications, technology, healthcare, airline, automotive, gaming, and financial services industries.
Before joining Morgan Lewis, Jennifer was a partner at a major international law firm.

- Counsel to the State of Oregon and its affiliated investment funds in connection with their securities claims in the Pacific Gas & Electric chapter 11 cases
- Adviser to leading financial institutions on strategic and compliance issues in the areas of warehouse lending, payment systems, trade finance, securities custody arrangements secured transactions, and derivatives, including counterparty credit risk
- Represented the syndicate agent and first lien lenders in the McClatchy chapter 11 cases
- Represented the syndicate agent and second lien lenders in the workout, restructuring, and chapter 11 cases of Teligent, Inc.
- Represented a noteholder in Wesco Aircraft Holdings Inc.’s uptiering recapitalization
- Represented the agent and ABL lender in Coldwater Creek’s assignment for the benefit of creditors
- Represented senior lenders in a strict foreclosure action for a leading diet and energy products brand
- Represented a US affiliate of South Korean biotech company Macrogen, in its acquisition of uBiome’s patent portfolio and related data in a section 363 sale
- Represented members of the ad hoc group of equity holders and their investment vehicle in connection with the purchase of the largest collection of artifacts from the RMS Titanic pursuant to a section 363 sale
- Company counsel for one of the only sports retailers to successfully restructure under chapter 11
- Represented the syndicate agent and senior lenders in the bankruptcy of Triangle Petroleum
- Represented the syndicate agent and senior lenders in the bankruptcy of Bonanza Creek
- Company counsel for Energy & Exploration Partners in its recapitalization and equitization of over $1.1 billion in debt
- Represented a large private investment fund and second lien lender in the bankruptcy of Boston Generating
- Represented the single largest bondholder in the Nortel chapter 11 cases
- Represented the syndicate agent and RBL lenders in a new revolving credit facility for Diamond Offshore Drilling Inc., a publicly traded offshore drilling company
