Robert D. Goldbaum
Rob Goldbaum serves as co-leader of Morgan Lewis’s investment management transactions practice and as a consultant with Morgan Lewis Consulting. Rob regularly advises a wide variety of industry leaders in the full range of asset and wealth management transactions, including mergers and acquisitions, strategic minority investments, sales, spin-outs and lift-outs, capital markets transactions, and “seed & stake” arrangements. Rob also provides strategic advice as a consultant to established and emerging financial services firms in connection with a range of business initiatives, including institutionalization of their businesses to enhance franchise value, governance and succession matters, product and channel diversification, and similar initiatives. He is a Registered Foreign Lawyer in England & Wales, and is admitted in New York.
Rob counsels asset and wealth management clients in connection with mergers and acquisitions, strategic minority investments, sales, spin-outs and lift-outs, capital markets transactions, and “seed & stake” arrangements.
Prior to returning to private practice and consulting, Rob co-founded HighView Investment Group with Ralph Schlosstein (co-founder and former president of BlackRock), a platform targeting acquisitions of minority interests in alternative asset managers. Previously, he was senior vice president for new investments at Affiliated Managers Group, which he joined after more than 14 years in private legal practice. Throughout his career, Rob also has been engaged on a number of occasions by leading public and private asset managers to provide strategic and operational consulting advice to their c-suite executive teams.
Rob is a former member of the Visiting Committee of The University of Chicago Law School, a former member of the Professional and Judicial Ethics Committee of the NYC Bar, and a frequent speaker on industry panels.
- Represented 1251 Capital Group in numerous transactions, including its majority acquisition of Ziegler Capital Management and its minority investments in Greenbacker Group, GIA Partners, Mar Vista, and Wavelength
- Represented Affiliated Managers Group (AMG) in numerous transactions, including its majority acquisition of Pantheon Ventures and its minority investments in AQR, ValueAct, and BlueMountain
- Represented Apollo in its acquisitions of Gulf Stream Asset Management and Stone Tower Capital
- Represented Blackstone Strategic Capital in its four minority investments in hedge fund firms
- Represented Centerbridge Partners in its minority investment in Focus Financial Partners and the subsequent sale of Focus Financial Partners to Stone Point Capital and KKR
- Represented Citigroup in the sale of its private equity fund-of-funds business to Lexington Partners and StepStone Group
- Represented Digital Bridge in its sale to Colony Capital and its sale of a minority stake to Wafra
- Represented Evercore Partners in its minority investment in Atalanta Sosnoff
- Represented IndexIQ in its sale to New York Life Insurance Company
- Represented Legg Mason in its majority acquisition of EnTrust Capital and the combination of EnTrust with Permal Group and in several affiliate development projects
- Represented Lincoln Peak in numerous minority investments in asset and wealth management firms
- Represented Macquarie in its acquisition of Central Park Group
- Represented MD Sass in its sale of Waterfall Asset Management to Neuberger Berman (Dyal)
- Represented ORIX in its majority investment in Mariner Investment Group, its minority investment in Caspian Capital and its minority investment in New Health Capital Partners
- Represented Religare Enterprises in its majority investments in Northgate Capital and Landmark Partners and its subsequent sales of Northgate and Landmark
- Represented Ric Edelman in the sales of Edelman Financial Services to Sanders Morris, Lee Equity Partners and Hellman & Friedman, and in the sale of AWP to Hightower Advisors
- Represented Silvercrest’s underwriters in the initial public offering of Silvercrest
- Represented Tiedemann Wealth Management in its acquisition of Threshold Group
