Successor Liability in Export and Import Transactions

As the result of a M&A transaction, the buyer-successor may inadvertently inherit civil, administrative or criminal responsibility for unlawful export or import activities in which the buyer-successor had no part.  This will be the case, whether the acquisition is an equity or an asset purchase.  Additionally, a Bankruptcy Court order declaring the acquisition "free and clear" will not negate such successor liability.
