As the result of a M&A transaction, the buyer-successor may inadvertently inherit civil, administrative or criminal responsibility for unlawful export or import activities in which the buyer-successor had no part.  This will be the case, whether the acquisition is an equity or an asset purchase.  Additionally, a Bankruptcy Court order declaring the acquisition "free and clear" will not negate such successor liability. It is important to know what is the best way to mitigate the risk of exposure to the export and import regulators' imposition of successor liability.
