2021 saw record-breaking activity in capital markets. Howard Kenny, a leading special purpose acquisition company (SPAC) practitioner and member of the firm’s SPAC task force, will discuss some of the most important legal issues companies may face when considering going public through a SPAC, and for SPACs themselves when seeking an acquisition target.

Topics covered will include the use of private investment in public equity (PIPEs), obtaining shareholder approval for mergers, navigating the required Securities and Exchange Commission (SEC) filings and review processes, and the accounting issues faced by SPACs during 2021.

Partner Brian Soares, an SEC alumnus, will present on trends and best practices for companies seeking to go public through the “traditional” initial public offering (IPO) route, covering changes in the SEC review process and common pitfalls that IPO-ready companies should consider.
