David C. Schwartz assists life sciences, healthcare, and technology companies in raising capital, executing strategic transactions, and navigating the demands of growth and public-company life. He advises startups and growth businesses, publicly held middle-market companies, venture capital and private equity firms, strategic investors, and underwriters at pivotal points in the corporate lifecycle—from private financings and public offerings to mergers and acquisitions (M&A), strategic transactions, and ongoing US Securities and Exchange Commission (SEC) and corporate governance matters. 

David’s capital markets background includes initial public offerings, follow-on offerings, at-the-market offerings, private investments in public equity, registered direct offerings, and deSPAC transactions. He also counsels clients on venture capital and private equity investments, M&A, going-private transactions, and other strategic matters. As outside corporate and securities counsel, David works closely with boards of directors and management teams on SEC reporting and compliance obligations, corporate governance matters, and day-to-day corporate needs. 

Clients value David’s practical, responsive approach and his ability to understand the business considerations behind a legal decision. He brings particular depth in biotechnology and life sciences, helping clients address the intersection of financing strategy, transaction execution, public-company obligations, and long-term business objectives. 

David leads the corporate and business transactions practice in Morgan Lewis’s Princeton office and holds leadership roles in the firm’s corporate and business transactions practice and capital markets and public companies practice. David previously practiced as an associate at Morgan Lewis, returning to the firm in 2019 after working as a partner at another global law firm and helping to establish its New Jersey office. There, he served as a member of its national leadership group of the US emerging growth and venture capital practice.

David is a frequent panelist on topics involving venture capital, public offerings, corporate governance, and M&A transactions. While attending law school, David worked in the Enforcement Division of the US Securities and Exchange Commission’s Philadelphia regional office.
