Jeanna Palmer Gunville

Jeanna assists clients with evaluating, forming, and implementing relationships to achieve their strategic, operational, and compliance goals. Her clients include a diverse range of healthcare providers, including health systems, academic medical centers, surgery centers, post-acute care providers, provider organizations, health care investors, licensed agencies, management services organizations, and other industry-based clients.

Jeanna provides counsel on complex healthcare transactions and legal and regulatory guidance in connection with mergers, acquisitions, joint ventures, professional service and outsourced services arrangements, and the formation and operation of accountable care organizations (ACOs), clinically integrated networks (CINs), and other networks. She also advises clients regarding compliance with federal and state health care laws, including the Anti-Kickback Statute and Stark Law, corporate practice of medicine and fee-splitting prohibitions, licensure rules, and governance requirements.

• Represented multiple nonprofit health systems in strategic joint ventures with providers of clinical service line and management services expertise 
• Advised a CIN regarding governance issues and corporate and regulatory compliance matters
• Represented a private equity-backed physician practice management organization in transactional and regulatory matters including strategic practice acquisitions and ongoing management services arrangements
• Advised a nonprofit health system regarding the formation of a group purchasing organization
• Represented a pediatric health system entering into a hospital-within-a-hospital (HwH) model with a public health system to operate pediatric units
• Advised multiple healthcare companies regarding compliance of proposed services and compensation models with applicable federal and state regulations, including but not limited to Anti-Kickback Statute and Stark Law compliance, corporate practice of medicine requirements, fee-splitting and patient brokering prohibitions, and licensure requirements
• Represented an academic health system in an affiliation with a medical supply distributor with commitments to enhance the system’s supply chain processes and technology and provide employment and economic opportunities within the system’s geographic region
• Advised a multispecialty provider group regarding value-based care models and clinical integration strategies
• Advised multiple real estate investment and property management companies regarding maintaining regulatory compliance of senior living facilities with applicable federal and state regulations
• Represented an academic medical center in multiple system affiliations and mergers, including performance of due diligence, management of corporate and regulatory requirements, and negotiation of definitive agreements
• Represented a multistate health system in the acquisition of a community hospital
• Represented newly formed single-specialty groups upon consolidation of multiple medical practices
• Assisted several hospital systems in purchases of physician practices, including advice on corporate structuring for physician integration and physician compensation methodologies
• Represented several hospital systems in procurement and outsourcing arrangements, including materials management, laboratory equipment and services, medical supply distribution, patient transport, biomedical device maintenance and repair, and transcription and hotel services
• Represented an ACO in a contractual affiliation with a provider of on-demand urgent healthcare to serve post-acute care patient population
• Assisted several hospital systems with contractual affiliations with post-acute care providers, including skilled nursing facilities, home health, and hospice care providers
• Represented several hospital systems in arrangements with vendors supplying telehealth monitoring services
• Assisted several hospital systems with the negotiation of professional services arrangements
