Morgan Lewis Advises Pearson PLC in the Sale of a 22% Stake in Penguin Random House to Bertelsmann SE

NEW YORK AND LONDON, July 11, 2017: Morgan Lewis represented Pearson PLC in its agreement to sell a 22% stake in Penguin Random House to Bertelsmann SE and recapitalize the business generating total net proceeds of approximately $1 billion.

Pearson is the world’s leading learning company, with expertise in educational courseware and assessment, and a range of teaching and learning services powered by technology.

The joint Morgan Lewis/Pearson internal legal team advising on the transaction consisted of partners Charles Engros, Benjamin Wills, and Richard Zarin, and associates James Fang and Elin Lassen from Morgan Lewis, and Graeme Baldwin (Deputy General Counsel, Finance) and Nancy Roberts (Senior Counsel, Finance) from Pearson. Freshfields is advising Pearson with respect to matters of non-US law.
