China-US Tensions Impact Trade Risk Disclosures, IFLR

Partners Carl Valenstein and Erin Martin and associate Christian Kozlowski spoke to IFLR about the impact of US-China relationship on finance and trade, including risk factor disclosures and registration statements required from issuers by the US Securities and Exchange Commission (SEC).

“The SEC requirement to provide risk factor disclosure in registration statements in the US is long standing and it was extended to periodic reports through Securities Offering Reform in 2005,” said Erin.

“By all indications, the next 12 to 18 months will be a period of focus, policy shifts, and legislative proposals that will draw from the select committee’s intense scrutiny of a range of US-China strategic competition-related issues, resulting in unanticipated and foundational effects on global businesses,” said Carl.

“Among several industries, the consequences have probably been most acutely felt within the advanced semiconductor manufacturing space: since October last year, we've seeing additional restrictions on what companies can do inside China, but also on what they can export,” said Christian.
