WASHINGTON, DC, March 1, 2024: Morgan Lewis represented Energy Harbor Corp. in conducting an auction, reviewing bidders, managing due diligence, and obtaining all regulatory approvals from the Nuclear Regulatory Commission, Federal Energy Regulatory Commission, Federal Communications Commission, and the US Department of Justice’s Antitrust Division for its sale of the company to Vistra Corp, which closed on March 1, 2024. The completed acquisition creates an integrated zero-carbon generation and retail electricity platform.
Energy Harbor is a provider of carbon-free baseload electricity committed to environmental, social, and governance (ESG) principles and accelerating the country’s clean energy transition. Vistra is an integrated retail electricity and power generation company that provides resources to customers, businesses, and communities across the country. The acquisition adds more than 4,000 megawatts of nuclear generation and 1 million additional retail customers to Vistra’s portfolio.
