Kelly G. Kuschel
Kelly Kuschel focuses his practice on real estate asset disposition, acquisition, leasing and financing. He represents real estate investment trusts (REITs) and private equity funds in the disposition of multi-property portfolios of storage properties and energy companies in multistate acquisitions and financings of real estate, as well as life sciences and healthcare companies. Kelly manages complex and large deal structures with teams across various practice areas. As part of the data centers team, he focuses on real estate acquisitions, leasing, and financing within the data center sector.
In addition to representing traditional real estate clients in leasing and dispositions, Kelly represents landlords and tenants in lease negotiations, including for headquarters and life sciences spaces, and advises companies on the legal aspects of mergers and acquisitions and other corporate transactions involving real estate.
In his facilitation of energy projects across the United States, Kelly provides diligence and transactional support at all stages, including acquisition, development, sale, operation, and financing.
Kelly is fluent in English, Spanish, French, and Italian.
- Represented Hydro-Québec in its approximately $2 billion acquisition of Great River Hydro LLC, an indirect portfolio company of ArcLight Capital Partners that owns 14 hydroelectric generation facilities totaling approximately 700 megawatts (MW) of capacity and related facilities in the ISO-New England market
- Represented an institutional investor group and a lender syndicate in connection with the financing of Southwest Generation’s acquisition of the Mankato Energy Center, an approximately 720 MW power project that includes two natural gas combined-cycle units; the financing included the sale of approximately $400 million in senior secured notes in the private placement market and a letter of credit and working capital facility with Canadian Imperial Bank of Commerce, Sumitomo Mitsui Banking Corporation, and Natixis
- Represented large owner-operator in the acquisition of land for future construction of data center, with a post-construction value exceeding $1 billion
- Represented a nonprofit as office tenant in its 14,400-square-foot headquarters lease in Washington, DC with total rent in excess of $13 million
- Represented a private equity company in a joint venture agreement and the sale of more than 1,000 properties over five years with total portfolio sales in excess of $1.5 billion
- Represented a national landlord in connection with more than 90 leases and real estate agreements in Boston, Chicago, Los Angeles, New York, San Francisco, Seattle, and Washington, DC, with a total rent value in excess of $40 million over a three-year period
- Represented a life sciences company in its lease of a New Jersey headquarters and manufacturing facility consisting of more than 90,000 square feet with total rent in excess of $17 million
- Represented a technology company in its lease of a Pennsylvania headquarters and manufacturing facility consisting of more than 50,000 square feet with total rent in excess of $4.5 million
- Represented an investment management company in the $32.5 million sale of an approximately 246-acre parcel of land
- Represented a university in the $31.5 million sale of an approximately 150-acre parcel of land with a 157,000-square-foot building and the $10 million sale of an approximately 15-acre parcel of land with buildings to a nonprofit
- Represented a REIT in the sale of 14 properties valued at more than $160 million and in the acquisition of more than 50 properties valued at $1.7 billion
