Jeannine T. Bishop
Leader of the firm’s real estate practice, Jeannine T. Bishop advises clients on the acquisition, development, financing, and leasing of commercial properties, including office, self-storage, data center, retail, industrial, warehouse, and distressed assets. She manages the acquisition and sale of multiple-property portfolios of all sizes, assists with real estate aspects of corporate acquisitions and mergers, and handles the real estate aspects of energy transactions. She has in-depth knowledge of the self-storage industry as well as in the development and leasing of data centers. She also serves as real estate lead on the firm’s retail and ecommerce industry team.
Jeannine counsels public and private companies, including real estate investment trusts (REITs), private equity, retailers, pension trusts, and corporate clients. She advises on day-to-day real estate matters, including operations and expansion/contraction of space, acts as local counsel for real estate financing matters, and assists with all real estate aspects of large complex mergers and/or strategic expansion of companies into new areas nationwide. In addition, her practice includes representing clients in the leasing of office and warehouse space as well as counseling clients in the energy space with respect to real estate aspects of pipelines, hydropower, and easement matters. Jeannine has also represented telecommunications companies during the site development process and landlords leasing to telecommunication providers. In addition, Jeannine provides an advisory role to clients in assessing the overall transaction strategy and review of property management matters.
- Represented CubeSmart (NYSE: CUBE) in its acquisition of LAACO, Ltd., the owner of the Storage West platform, which owns and operates 59 self-storage assets in the western markets of Southern California, Phoenix, Las Vegas, and Houston, for approximately $1.69 billion
- Represented Hydro-Québec in the real estate aspects of its approximately $2 billion acquisition of Great River Hydro LLC, an indirect portfolio company of ArcLight Capital Partners, that owns 14 hydro-electric generation facilities totaling approximately 700 megawatts (MW) of capacity and related facilities in the ISO-New England market
- Represented large owner-operator in the acquisition of land for future construction of data center, with a post-construction value exceeding $1 billion
- Represented CubeSmart (NYSE: CUBE) in a joint venture to construct a mixed-use, seven-story building housing a fire station with emergency medical services on the first floor, under six floors of storage units—a first-of-its-kind deal, which won the Philadelphia Business Journal’s 2019 Best Real Estate Deal of the Year
- Represented Simply Self Storage in the acquisition of membership interests in operating entities owning multiple self-storage facilities for approximately $61 million
- Represented Simply Self Storage in acquisition of multiple self-storage facilities in various states as well as matters regarding financing, potential disposition, development, and easement issues for multiple locations, with combined values over $50 million
- Represented Jernigan Capital in its acquisition of a nine-property portfolio of recently completed self-storage facilities located in multiple states and valued at approximately $30 million.
- Represented Aramark (NYSE: ARMK) in connection with its lease for a 300,000 square-foot world headquarters in Philadelphia
- Represented BP (NYSE: BP) in the real estate aspects of its joint venture with ArcLight Capital Partners and the joint venture’s acquisition of Thornton’s Inc., a Louisville, Kentucky–based company that operates a chain of 191 convenience stores throughout the Midwest
- Represented a national REIT in its acquisition of a five-acre parcel in the University City submarket of Philadelphia, Pennsylvania, including the redevelopment of a historic approximately 800,000 square foot building, the negotiation of a new long-term tenant lease, and the ground leasing of three adjacent sites for office, hotel, residential, and structured garage development
- Represented a large institutional lender in the financing of Xfinity Live!, a 80,000 square foot sports and entertainment venue adjacent to Philadelphia’s stadiums
- Represented a publicly traded REIT in the acquisition and disposition of more than 1,000 properties over 24 months; representation included title, survey, and zoning diligence; leaseback transactions; complex easements; and closing preparation
- Represented a national REIT in connection with a new $450 million credit facility primarily secured by a large portfolio of real property assets of the REIT and several of its subsidiaries
- Represented a publicly traded REIT in a sale transaction valued at $3.3 billion, including the sale of 29.2 million square feet of space in hundreds of properties in 38 states and the District of Columbia and requiring the coordination of more than 200 affiliate property transfers, loan assumption and defeasance work, and local counsel mortgage reviews and transfer tax guidance throughout the United States
- Represented a landlord in a $158 million lease for 238,000 square feet of space in downtown Washington, DC
- Represented BHP Billiton in the real estate aspects of a $12.1 billion acquisition of Petrohawk Energy Corporation
