Partner Celia Soehner spoke with Agenda about regulatory scrutiny of proxy advisors ISS and Glass Lewis through a Federal Trade Commission probe and possible forthcoming executive orders, noting that potential restrictions could significantly impact shareholders and boards.

“Limitations placed on proxy advisors would have the largest impact on shareholders who vote ‘in lockstep’ with these firms,” Celia said. “If these recommendations are pulled back or taken away, those shareholders would need to ‘develop their own voting policies.’”
