Brian also represents seed, venture capital, private equity, institutional, and strategic investors in financing, M&A, and portfolio company transactions.
Brian’s practice includes nurturing entrepreneurs and early-stage clients by reviewing their business plans and helping identify appropriate financing sources. Brian also provides legal and strategic advice on choice of entity and formation issues, equity and incentive structures, equity and debt financing structures, and the execution of growth strategies. Brian counsels boards of directors and senior management on corporate governance, securities compliance, and IP matters. Additionally, Brian offers advice on exit strategies, including preparing for and executing a sale transaction or IPO, or transitioning from a private to a public company.
In his transactional practice Brian has represented clients in corporate structuring, capitalization, securities matters, financing, M&A matters, and all aspects of real estate including acquisition, development, zoning, management, leasing, and disposition of commercial, residential, industrial and retail properties.
