Charles F. Vandenburgh advises on the structuring and implementation of transactions in a number of sectors primarily focusing on energy and infrastructure, working with clients throughout the United States and across the globe. Charlie regularly represents companies on acquisitions, divestitures, joint ventures, strategic alliances, financings, recapitalizations, and restructurings, working with them from letter of intent to closing. He has experience navigating transactions involving power plants, district energy systems, and energy marketers, as well as manufacturing, service, and technology companies.

Represented Basalt Infrastructure Partners II LP in the creation of a joint venture and the acquisition of an ownership interest in DB Energy Assets, an entity created to own established district energy systems in Hartford, Connecticut; Wilmington, Delaware; Montclair State University, New Jersey; and Atlantic City, New Jersey, from DCO Energy
Represented a consortium led by Basalt Infrastructure Partners II LP in its acquisition of Detroit Renewable Energy LLC, an integrated renewable energy system comprised of Detroit Thermal, Detroit Renewable Power, and Hamtramck Energy Services
Represented Great Plains Energy Incorporated in obtaining an $8 billion bridge facility commitment from Goldman Sachs Bank USA and a $750 million preferred convertible equity commitment from the Ontario Municipal Employees Retirement System (OMERS)
Represented Duke Energy Corporation in the separation and subsequent $2.8 billion sale of its entire Midwest merchant generation business to a subsidiary of Dynegy Inc., which included ownership interests in 11 power plants with a total capacity of approximately 6,100 MW, as well as Duke’s competitive retail electric and gas business (Platts Global Energy Awards, 2015 Strategic Deal of the Year)
Represented Optim Energy LLC in all corporate aspects of its Chapter 11 proceeding including its $126 million Section 363 bankruptcy sale of the Twin Oaks Power Station to Major Oak Power LLC, an investment vehicle of The Blackstone Group LP
