Fred Gallo’s practice focuses on two principal areas: representing clients in connection with the acquisition, development, disposition, leasing and management of commercial properties, and representing institutional investors and lenders in connection with preferred equity investments, project finance and conventional construction, permanent and mezzanine financing. Fred regularly represents institutional owners in connection with all aspects of commercial development and venture capital firms in connection with investments in complex real estate projects.
Fred represents commercial banks, insurance companies, real estate investment trusts and other institutional investors in a wide variety of commercial real estate financing transactions and investments. His real estate financing experience includes multistate transactions ranging from construction, permanent and mezzanine loan facilities for mixed-use projects throughout the United States, Mexico and the Caribbean, to the acquisition and financing of commercial finance companies’ portfolios of performing, non-performing and under-performing loans and real estate owned assets. He negotiates and documents subscription lines, secured and unsecured credit facilities and working capital facilities for hotel operators, real estate developers and REITs. His background representing commercial lenders also includes the origination and securitization of CMBS loans, as well as the disposition of distressed loans and real estate assets, and loan workouts, enforcement proceedings, restructurings and conveyances in lieu of foreclosure.
Fred also advises institutional owners and investors in all aspects of project development, including land acquisition, parcel assemblage, formation and capitalization of real estate investment joint ventures and the negotiation and documentation of construction contracts and design and development agreements throughout the United States.
