Tyler Payne represents investment advisers, investment companies, and both domestic and offshore private investment entities, such as private credit funds, private equity funds, funds of one, and co-investment funds. Tyler counsels clients in regulatory and corporate matters, including fund formation, drafting and negotiating offering memoranda, investment management agreements, side letters, subscription documents, and other related agreements.
Tyler also counsels US and international fund managers in fund launches and raising substantial commitments for investments in various assets, which are sourced from institutional and retail US and international investors, including sovereign wealth funds, US and global pension plans, insurance companies, endowments, family offices, and foundations.
Additionally, Tyler advises fund sponsors and institutional investors on separate managed account agreements, secondary transactions, complex fund restructurings (e.g., GP-led restructurings), co-investments, compliance with relevant US securities laws, and the formation of impact funds and other environmental, social, and governance (ESG) investing matters.
Prior to joining Morgan Lewis, Tyler was a financial services and investment management associate at a global law firm.
