Repairing and Preventing “Broken Windows”

Thursday, April 16, 2015
08:00 AM - 09:30 AM PT

The SEC’s New Emphasis on Nonfraud/Internal Controls Violations

Following Securities and Exchange Commission (SEC) Chair Mary Jo White’s 2013 “broken windows” speech, the SEC’s Division of Enforcement has ramped up its focus on nonfraud technical accounting and disclosure violations, as well as on internal control deficiencies. At the same time, regulators are focusing more closely on the role of audit committees. Join a panel of experienced Morgan Lewis lawyers for a hypothetical case study of a public company confronted with red flags of an internal control breakdown and the resulting SEC inquiry.

Topics will include:

  • What does “broken windows” mean for companies, their directors, and their officers?
  • How does the focus on internal controls affect SEC registrants?
  • What do the SEC and the Public Company Accounting Oversight Board expect from audit committees?
  • How can SEC registrants minimize the risks of new and more aggressive regulatory enforcement?
