Partner Christopher Dlutowski was quoted by Hedge Fund Law Report in this multipart series about side letter management and who is responsible for it.
In part one, Chris explains the challenges of side letter management, saying, “At larger managers, some in-house counsel spend all their time on side letters – negotiating and managing them.” However, Chris says that some managers may opt for investor relations (IR) as the lead in managing side letters. “IR is clearly a business function, and its approach to side letter management generally reflects (and should reflect) the manager’s desire to maintain solidly productive and cordial relationships with investors,” Chris said.
