Morgan Lewis Represents FirstEnergy in Sale of Three Mile Island Generating Station

WASHINGTON, December 21, 2020: Morgan Lewis represented FirstEnergy Corp. and its operating subsidiaries, Metropolitan Edison Company, Jersey Central Power & Light Company, Pennsylvania Electric Company, and GPU Nuclear, Inc., (the FirstEnergy Companies) in connection with the sale of the Three Mile Island Generating Station, Unit 2, (TMI-2). The sale from the FirstEnergy Companies to TMI-2 Solutions, LLC (TMI-2 Solutions), a wholly owned subsidiary of EnergySolutions, will allow TMI-2 Solutions, LLC to complete the decommissioning of the unit.

The Morgan Lewis team, led by partners Tim Matthews, Michael Espinoza, and Paul Gordon, advised FirstEnergy with respect to all aspects of the transaction, and related approval from the US Nuclear Regulatory Commission (NRC), a request for an adjudicatory hearing before the NRC, settlement of a hearing request with the Pennsylvania Department of Environmental Protection and support for approval from the New Jersey Bureau of Public Utilities. The NRC approved the proposed license transfer on December 2, 2020, after determining that the transfer complies with NRC regulatory requirements, provides reasonable assurance that public health and safety will be protected, and is not detrimental to the common defense and security. The FirstEnergy Companies and TMI-2 Solutions closed the transaction on December 18, 2020.
