New York State Court Enforces Federal Forum Provision/The D&O Diary

The blog The D&O Diary covered a development affirming the use of federal forum provisions (FFP) to avoid duplicative parallel state court securities lawsuits. A New York state court judge granted Morgan Lewis client Casa System’s motion to dismiss based on the FFP in its charter. According to The D&O Diary blog post, the ruling, which appears to be the first in New York to enforce an FFP, is a significant step in companies’ efforts to try to avoid duplicative litigation problems caused by the US Supreme Court’s March 2018 decision in Cyan Inc. v. Beaver County Employees Retirement Fund. Morgan Lewis partners Jordan Hershman and Emily Renshaw represented Casa Systems.
