In the first of a two-part article, partner Joseph Zargari speaks with Private Equity Law Report about the role placement agents play in fundraising; what type of placement agents are used by sponsors; and compliance concerns that sponsors should consider when engaging and working with a placement agent in both the US and non-US jurisdictions. Of the latter, part of a manager’s due diligence process should include checking the registration and licensing status of a potential placement agent. “Entering into an agreement with someone who is not in the placement agent business but will introduce investors to the manager for a fee is a clear risk,” Joe warns.
