NEW YORK, May 6, 2021: Morgan Lewis advised an entity owned by Diamond Communications LLC and investment funds affiliated with Sculptor Real Estate (SRE) in a definitive stock purchase agreement to acquire Melody Wireless Infrastructure (MWI) from investment funds managed by Melody Capital Management, LLC.
Diamond owns and manages more than 2,000 tenanted wireless communication sites in the United States. SRE was founded by Steven E. Orbuch in 2003 and has invested more than $14.6 billion across 25 different real estate related asset classes in North America and Europe. MWI is a private US real estate investment trust (REIT) that owns a portfolio of approximately 2,300 tenanted wireless communication sites.
The closing of the transaction is subject to customary closing conditions and is expected to be consummated by June 2021.
