Diana Li Chikwamba represents investment advisers, unregistered investment companies, and domestic and offshore private investment entities such as hedge funds, private equity funds, funds of one, co-investment funds, infrastructure funds, and funds of funds. Diana counsels clients in regulatory and corporate matters, including fund formation, drafting and negotiating offering memoranda, investment management agreements, side letters, subscription documents, and other related agreements.
She leverages her experience at Ares Capital, a global alternative investment manager with more than $300 billion of assets under management to advise clients, where she was part of the infrastructure group.
Diana also counsels US and international fund managers in fund launches and raising substantial commitments for investments in various assets, including real estate and infrastructure assets which are sourced from institutional and retail US and international investors, including sovereign wealth funds, US and global pension plans, insurance companies, endowments, family offices, and foundations.
Additionally, she advises fund sponsors and institutional investors on separate managed account agreements, secondary transactions, complex fund restructurings (e.g., general partner–led restructurings), co-investments, and compliance with relevant US securities laws.
She is a native German speaker and conversational in Mandarin. Before joining Morgan Lewis, Diana interned at private law firms in Vienna, Austria and Shanghai, China, at the Mayor’s Office of the City of Philadelphia, and at the Massachusetts Court of Appeals for Judge Peter Agnes.
