A significant new US Securities and Exchange Commission (SEC) development could affect public companies—including those with no plans to tokenize their shares. Under the SEC’s new Innovation Exemption, unaffiliated third parties may tokenize and facilitate trading in a public company's tokenized listed stock on alternative venues without the company's initiation or consent, although subject to notice and an opportunity to object. Companies have just 30 calendar days from receipt of a notice to exercise their right to object.
Join our digital assets lawyers for a timely discussion of what this new framework means for public companies and the steps they should consider taking now. Drawing on our team's experience advising on pioneering tokenization transactions, we will address the notice and objection process, key legal and operational risks, potential benefits, shareholder rights and corporate governance considerations, and practical strategies for preparing internal teams to respond within the limited timeframe.
Don't wait for a notice to arrive. Learn how your company can proactively assess its options, establish response procedures, and navigate the evolving tokenized securities landscape.
