The authors discuss consultation proposals issued by the Financial Conduct Authority and Prudential Regulation Authority that would simplify institutional investor due diligence requirements, streamline transparency and reporting obligations, and introduce greater flexibility in risk retention structures. The article highlights how the reforms could reduce compliance costs, improve access to third-country securitizations, and enhance the competitiveness of the UK securitization market while maintaining appropriate investor protections. The authors also consider how the United Kingdom’s approach diverges from the European Union’s more prescriptive framework and what market participants should monitor as the reforms move toward implementation in 2027.
