Alice Huang
Alice Huang is a partner in the investment management practice and a Registered Foreign Lawyer in the firm’s Hong Kong office. Alice skillfully represents fund sponsors in the United States and Asia-Pacific regions in the formation, structure, and ongoing management of investments. She draws on her diverse experience to structure various fund types and represents institutional investors in negotiating operating and side letter agreements for investments in global private funds, including in sectors across healthcare, TMT, consumer, real estate, infrastructure, and finance, among others.
Alice brings a thorough knowledge and technical understanding of private investment fund clients having served as general counsel for an Asia Pacific private equity fund based in Hong Kong. In this role, she managed the companywide legal, compliance, and tax functions with respect to the company’s operations and investments in China, Hong Kong, South Korea, Taiwan, Tokyo, and the United States. Alice also reviewed and designed carried interest and other compensation schemes for the management and investment teams.
Prior to practicing law, Alice advised clients on inbound and outbound tax transactions as senior tax manager with Deloitte Touche Tohmatsu in Los Angeles. She also spent a year in Shanghai assisting multinational clients in China with cross-border and China tax and regulatory issues, including mergers and acquisitions, structuring, feasibility studies, transfer pricing, and foreign exchange.
Prior to joining Morgan Lewis, Alice practiced at a top regional law firm, resident in Hong Kong, and before that she worked at other top US law firms focusing on private investment funds and cross-border transactions.
- Counseled institutional investors, including sovereign wealth funds, on investments in more than 100 transactions in global investment funds with total capital commitments exceeding $30 billion
- Counseled a Tokyo-based real estate investment company on the formation of a first-time real estate opportunity fund with an approximately $500 million equity commitment to invest in repositionings, development transactions, and real estate operating companies—primarily in Japan, China, and South Korea
- Advised a leading China-based ecommerce company in its anchor investments in certain offshore private equity funds to invest in equity and equity-linked securities of privately held companies organized and/or operating in China or that otherwise have a significant nexus to China
- Assisted a China-based investment manager in forming a first-time offshore private equity fund with a target equity commitment of $200 million in conjunction with an onshore RMB fund to invest in equity and equity-related investments in internet finance, consumer finance, wealth management, and payment industries and related big data, internet, and technology industries in the Greater China region
- Advised a China-based investment manager in forming a first-time offshore private equity fund with a target equity commitment of $600 million in conjunction with an onshore RMB fund to invest in equity and equity-related investments primarily in companies driven by the travel and lodging demand in the China market
- Advised a China-based logistics company in forming a first-time logistics/warehousing project fund domiciled in China with a fund size of approximately 8.5 billion RMB ($1.3 billion)
