Morgan Lewis Advises KME Group on €300 Million Financing and Strategic Reorganization Supporting Cunova Transaction
09 апреля 2026 г.MILAN/MUNICH, April 9, 2026: Morgan Lewis advised KME Group S.p.A. on a €300 million financing provided by an affiliate of Apollo Global Management, Inc. in connection with KME’s previously announced buyback of Cunova from Paragon.
The transaction involves a combined equity and debt financing structure and forms part of a broader multi-step reorganization of KME’s industrial operations. The financing comprises a €150 million five-year term loan and €150 million of preferred equity, together with the issuance of warrants to Apollo-managed funds. The transaction supports KME’s acquisition of the remaining interest in Cunova, the integration of certain aerospace and foundry assets into the business, and the refinancing of approximately €170 million of existing debt.
KME is a global manufacturer of copper and copper alloy products, concentrating on semi-finished materials. The group supplies industries including automotive, electrical, and engineering.
Apollo Global Management is a global alternative asset manager focused on delivering returns across the risk-reward spectrum, from investment grade to private equity.
Cunova GmbH produces corrosion-resistant copper-nickel (CuNi) products for demanding environments. The company manufactures tubes, pipes, fittings, and customized coatings for marine, offshore oil and gas, and industrial applications.
