Morgan Lewis Advises Republic of Suriname on $1.575 Billion Sovereign Bond Offering

LONDON and NEW YORK, November 7, 2025: Morgan Lewis served as US legal adviser to the Republic of Suriname on a $1.575 billion sovereign bond offering. The offering closed on November 6.

The bonds were issued in two series comprising $525 million 7.70% Notes due 2030 and $1.05 billion 8.50% Notes due 2035. The offering was made pursuant to Rule 144A and Regulation S, and the bonds have been listed on the Luxembourg Stock Exchange. The offering was conducted simultaneously with a tender offer by Suriname for its 7.95% Cash/PIK Notes due 2033, on which Morgan Lewis also advised Suriname.

The use of proceeds from the offering will include purchasing approximately $420 million of Suriname’s 7.95% Cash/PIK Notes due 2033 pursuant to the tender offer, redeeming the remaining 7.95% Cash/PIK Notes due 2033 following the tender offer, and retiring a portion of Suriname’s Oil-Linked Securities by way of an optional payment. Part of the net proceeds from the offering may also be used to prepay certain of Suriname’s bilateral debt.
