James Mulligan
James Mulligan advises multinational clients on technology transactions, outsourcing, and commercial contracts. His practice encompasses a broad spectrum of financial services transactions, complex information technology (IT) and business process outsourcings, use of artificial intelligence, and other technology-specific transactions, such as licensing and “as-a-service” arrangements. James has experience in highly regulated industries and has completed secondments to a global financial institution and a leading technology and financial services business.
James represents a diverse client base across payments services, investment management, banking, corporate services, technology, airline, life sciences, and sports industries.
In addition to his technology and outsourcing practice, James advises both customers and suppliers on a wide range of commercial arrangements, such as supply of goods and services agreements, agency agreements, transitional service agreements, master services agreements, intellectual property licenses, and data processing agreements.
Prior to joining Morgan Lewis, James worked in the compliance team of a global asset manager.
- Represented a global service provider on the separation of its global outsourcing agreement with a cornerstone investment management client, for the provision of middle office and back office services
- Represented a global bank on the restructuring of its multi-jurisdictional hosting arrangements
- Represented a US-based health insurer in the outsourcing of a significant portion of its technology function to multiple suppliers, involving the use of artificial intelligence by the suppliers to implement significant operational transformation
- Represented a global technology provider to the travel industry on the renegotiation of its commercial arrangements with a global payments network provider
- Advised a UK-based subsidiary of a global customer solutions business in a major “bet the company” transformation program to cloud-based solutions, including through artificial intelligence capabilities and robotic process automation
- Represented a leading UK financial services provider in the negotiation of pension scheme administration agreements with various customers
- Advised a multinational software provider to the asset management industry in the preparation of template licensing terms
- Advised a new international airline on the procurement of all IT and marketing services
- Advised a US-based life sciences company in the negotiation of a transfer agreement with a UK public authority, relating to the transfer of bacterial serums for the research of vaccine antigens
- Represented a trading platform provider in the negotiation of a product placement arrangement for a global social media platform campaign
