The Introduction of Commercial Courts and Commercial Chambers in Germany
For many years, the German civil justice system has been suffering from a steady decline in the number of cases filed. Among other areas, this has affected high-volume, often international commercial disputes. In other words, companies prefer to settle their disputes in foreign courts or arbitration tribunals rather than in German courts. This is now set to change with a new law designed to make Germany more attractive as a location for the administration of justice in international comparison.
A Union of Innovation? The EU Strategy for Startups and Scale-ups
On May 28, 2025, the European Commission presented its new strategy to promote startups and scale-ups in the EU. Although the strategy does not include any concrete legislative proposals, it does set out clearly defined measures and a timeframe (Q4/2025–Q2/2027), marking an important political milestone in strengthening entrepreneurial innovation in the European single market. No Gift Tax on Increases in the Value of Shares in the Case of Shareholder-Allocated Contributions
The German Federal Fiscal Court has concluded that disproportional contributions do not qualify as a gift tax–relevant increase in the value of shares within the meaning of Section 7 (8) of the German Inheritance Tax Act if the contributions are individually allocated to the relevant shareholders.

Federal Labour Court: Fixed-Term Contract Ends Despite Works Council Activity
The Federal Labour Court (BAG) has ruled on the complaint of a works council member who was employed based on a fixed-term employment contract. The employer had not offered the works council member a permanent employment contract after the fixed-term contract expired. The works council member considered this to be discriminatory. The BAG confirmed the previous case law: The mandate on the works council does not per se establish an entitlement to a permanent employment contract. If the employer does not offer a permanent contract, this may in principle constitute discrimination. However, the works council member must demonstrate and prove this.
Need for Action: Employment of Freelance Teachers
The Federal Social Court (BSG) has tightened the criteria for freelance teachers subject to social security contributions. This may affect all companies if they deploy freelancers for lectures, workshops or team events. Due to a statutory transitional provision, it is possible to waive the obligation to pay social security contributions until December 31, 2026. However, companies should adapt their contracts to the amended BSG case law for the period from January 1, 2027 at the latest.

German Federal Labor Court Strengthens Employee Rights for Virtual Stock Options upon Employment Termination
The German Federal Labor Court (BAG) in its March 19, 2025 (10 AZR 67/24) ruling, which is currently only available as a press release, ruled that expiry clauses are invalid that stipulate that already "vested" virtual stock option rights expire immediately upon the employee’s resignation or expire particularly quick upon termination of the employment by way of a so-called “de-vesting.” The BAG is thus changing its previous case law regarding expiry clauses for stock options, although the scope of the change in case law is currently still unclear.

Federal Fiscal Court Issues Two Rulings on the Requirements for a Consolidated Tax Group for Income Tax Purposes
The Federal Fiscal Court (BFH) has issued two rulings in favor of taxpayers on the requirements for a consolidated tax group for income tax purposes. In its ruling dated November 27, 2024, case no. I R 23/21, the BFH decided that a partnership operating exclusively as a managing holding company can qualify as a tax group parent. Furthermore, in its ruling of 11 December 2024, case no. I R 33/22, the BFH ruled that an atypical silent partnership in the controlled company is generally not detrimental to the recognition of a tax group.
Federal Fiscal Court on Trade Tax for Commercially Infected Upper-Tier Partnerships
The German Federal Fiscal Court confirmed its case law which states that the commercial infection of an upper-tier partnership pursuant to Section 15 para. 3 no. 1 sentence 1 alt. 2 German Income Tax Code does not lead to the reclassification of the entire activity of an upper-tier partnership as a commercial enterprise.
Düsseldorf Fiscal Court: Legal and Consulting Fees for Sale of Second-Tier Subsidiary Fully Deductible Irrespective of an Existing Income Tax Group
In its decision dated February 26, 2025 (7 K 1811/21 K), the Düsseldorf Fiscal Court concluded that legal and consulting fees incurred by the indirect sale of a second-tier subsidiary by the subsidiary are deductible business expenses of the plaintiff; this applies irrespective of an income tax group between the parent and its subsidiary.

Unified Patent Court Claims Jurisdiction for Patent Infringement in the UK
In its recently published decision, the Unified Patent Court (UPC) assumes long-arm jurisdiction for patent infringement in the United Kingdom if the defendant is domiciled in a UPC contracting member state. Plaintiffs can now consider enforcing, for example, not only the German and French part of a European patent against a domestic defendant but also parts validated even in non-EU states such as the United Kingdom.
New Procedural Means in Practice: Leading Decision Procedure and Representative Action
In November 2024, the German Federal Court of Justice made its first decision within the new leading decision procedure, which is intended to simplify mass proceedings. Another new procedural tool is the redress action. In future, companies therefore run the risk of several similar claims being enforced much more quickly and cost-effectively.

German Federal Fiscal Court Comments on Several Aspects of Real Estate Transfer Tax for Share Deals
In several recently published rulings, the German Federal Fiscal Court has commented on several aspects of real estate transfer tax (RETT) in case of share deals—also contrary to the previous opinion of the tax authorities. In its letter dated September 4, 2024, the Federal Ministry of Finance adapted its opinion to the case law.

Quo Vadis: Tort Liability of Companies for Climate Damage?
The recent heavy rainfall and resulting flooding in southern Germany raises the question of whether companies can be held responsible for climate damage. While there has thus far been no such outcome to a climate litigation in Germany, it is worth taking a closer look at the individual standards and their interpretation to be able to assess whether claims could be justified and under what circumstances.
Carbon Dioxide Storage Act Amendment: An Important Step Toward Decarbonizing the German Industry?
The amendments to the Carbon Dioxide Storage Act adopted by the German Federal Cabinet could provide industries whose emissions are unavoidable or difficult to avoid with opportunities to achieve the climate targets by 2050. Government Draft of Annual Tax Act 2024 Adopted
The Federal Cabinet adopted the government draft of the Annual Tax Act 2024 on June 5, 2024. It largely corresponds to the draft bill from May 17, 2024 and contains a large number of amendments to various tax laws. The legislative process is currently expected to be completed in Q4 2024.
Changes to the VAT Exemption for the Management of Alternative Investment Funds
The German legislator has extended the regulations on German value added tax (VAT) exemption for management services rendered to alternative investment funds (AIFs) so that management services to any AIF are now exempt from VAT. The similarity test previously required for analyzing if an AIF is comparable to UCITS no longer applies. The German tax authorities have amended their application instructions accordingly.
‘FASTER’: EU Council of Ministers Adopts Directive to Harmonize Withholding Tax Procedures
On May 14, 2024, ECOFIN agreed on the Directive on Faster and Safer Relief of Excess Withholding Taxes (so-called FASTER Directive). Federal Government Expands Access to Capital for Startups
The federal government is planning to invest considerable funds into promoting startups and increasing exit opportunities for German and European startups. According to the latest plans, a further €1.6 billion from the so-called Future Fund, which was previously held as a strategic reserve, and €150 million from the special assets of the European Recovery Program are to be made available for this purpose.
AIFMD II - A Moderate Reform After More Than 10 Years of Application of the AIFMD
After more than 10 years of application of the Alternative Investment Fund Managers Directive (AIFMD), the European Parliament and the Council recently adopted an amending directive (known as AIFMD II). Among other things, it provides for new regulations for debt funds.

German Parliament Passes Law on Disclosure of Country-by-Country Income Tax Information
The German Parliament passed the law implementing Directive (EU) 2021/2101 with regard to the disclosure of income tax information by certain companies and branches (so-called public country-by-country reporting) on May 11, 2023. The rules will apply to multinational and high turnover (turnover threshold at €750 million) companies—both unrelated and related companies—as well as domestic branches of unrelated and related companies established outside the European Union. Exceptions exist for CRR credit institutions and large securities institutions if they publish a country-by-country report in accordance with the relevant regulatory requirements.
